• Leading legal diligence on behalf of the Investor prior to potential acquisition / investment in the target company engaged in manufacturing of medical devices.
• Drafting of legal opinions under FEMA Regulations and Companies Act, 2013.

Private Equity and Acquisitions

• Represented the Acquirer in legal due diligence and drafting/negotiating Business Transfer Agreements and ancillary agreements (novation, assignment, closing documentation) for a top 500 listed entity in automobile component manufacturing.
• Represented the seller in a slump sale involving the polymer division of an unlisted public company; drafted and negotiated business transfer agreement and ancillary agreements.
• Providing legal assistance in drafting / reviewing various commercial contracts in relation to a corporate restructuring process following a memorandum of family settlement , involving the family members of a large corporate group based out of Tamil Nadu and advising on various compliances under SEBI Regulations required to be adhered to by 10 listed entities (top 300 by market cap) belonging to the group.
• Drafted and participated in the negotiation relating to Share Purchase Agreement on behalf of the Acquirer (existing JV partner) for acquiring 50% shareholding of the outgoing JV partner in the target company belonging to Home Finance Sector. Representing the acquirer in securing CCI and RBI approvals.
• Drafted and reviewed agreements for smaller deals, including Share Purchase Agreements, Shareholder Agreements, and Share Subscription Agreements, for acquisitions and sales of shares.
• Drafted various commercial agreements, such as: Franchise Agreements, Distribution and Marketing Agreements, Technology License Agreements, Memorandums of Understanding (MoUs), Lease Agreements, Non-Disclosure Agreements.
• Prepared legal opinions for clients on various subject matters.

• Initial Public Offerings (IPOs):Actively participated in 9 IPOs on the SME exchange and 1 on the main board.
  Conducted diligence, prepared offer documents, and drafted related agreements and opinions.
  
• Regulatory Compliance and Representation:Advised clients and represented them before SEBI in enforcement and adjudication proceedings under various SEBI regulations.
  Drafted and filed appeals before the Securities Appellate Tribunal (SAT) and represented clients in appeals.
