• Dear Dewon:
• This letter is to confirm that effective 5/30/2025, (“Separation Date”), your employment with ACV Auctions Inc. (“ACV” or the “Company”) ended. Below, we have provided information regarding your separation of employment and what will happen next.
• Your final paycheck, which includes wages earned through the Separation Date, will be issued to you in accordance with the Company’s regularly scheduled payroll calendar, unless payment is required sooner by applicable law. If you have direct deposit established, your final paycheck will be deposited to your bank. If you receive a live check, it will be mailed to the home address we have on file for you.
• If you are eligible to receive stock options per the Stock Option Award Agreement (“Option Agreement”), any unvested Options, as defined by the Option Agreement, will terminate on the Separation Date, and any unexercised and exercisable Options may be exercised by you no later than the earlier of: (a) three months after the Separation Date or (b) the Option Expiration Date (as defined by the Option Agreement). If you are eligible to receive Restricted Stock Units (“RSU”), any unvested portion of your RSU Award will be forfeited as of the Separation Date. Please refer to your Option Agreement(s) for further information regarding your stock options.
• If you are currently enrolled in the Company’s medical, dental, or vision insurance, coverage will cease at midnight on the last day of the month in which your employment ends. You will have the option of continuing your benefits at your own expense under the Consolidated Omnibus Budget Reconciliation Act (“COBRA”) - provided, however, that you complete the COBRA election form before the election period expires. You will receive COBRA coverage continuation information at your home address from WEX, ACV’s COBRA administrator, in approximately 2-4 weeks. You have 60 days to elect COBRA coverage from the date you receive the election notice or the date you would lose coverage, whichever is later.
• If you are enrolled in the Company’s health care or dependent care flexible spending accounts (“FSA”), your account will be deactivated at midnight on the Separation Date. You have 30 days from the Separation Date to submit claims to your FSA for services rendered prior to the Separation Date.
• Please remember that following the separation of your employment with ACV, you are under a continuing obligation to comply with the terms of all prior agreements that you entered into with the Company during or in connection with your employment, such as arbitration and restrictive covenants agreements.
• Also, please note that you must immediately return to ACV all Company documents (and copies thereof) and other Company property in your possession, including, but not limited to your Company-issued computer, cell phone, ID badge, keys, credit cards, and any materials of any kind that contain or embody any proprietary or confidential information (and all reproductions thereof).
• In the event you require verification of dates of employment or earnings, you can access the information through The Work Number by Equifax. You may request information through www.theworknumber.com or by calling 800-367-5690. ACV’s company code is 22547 for data prior to 1/1/2022 and the company code is 4253968 for any information needed after 1/1/2022.
