Contract Management
Drafting,review and redlining of contracts, identifying and addressing potential risks, while proposing amendments to align with organizational objectives of a variety of corporate agreements like MSA, SLA, J.V Agreements, SAFE Agreements T&M, Fixed Bid, Confidentiality Agreements and other corporate day to day agreements and successfully negotiating terms and conditions with clients, suppliers, and vendors, fostering strong business relationships while ensuring favorable outcomes for the company.
- Vetting Property Documents: Reviewed and vetted key property documents, including ownership titles, land use permissions, zoning regulations, and compliance with local laws to ensure lease agreements were legally sound.
- Compliance with Policies & Regulations: Ensured all lease agreements adhered to company policies, regulatory requirements, and legal obligations, aligning terms with the company’s operational and financial needs.
- Negotiation & Finalization: Led negotiations with property owners and landlords to secure favorable lease terms, ensuring all clauses were legally compliant, fair, and aligned with the company’s objectives. Coordinated the finalization and signing of lease agreements.
- Corporate Policy Development: Led the creation, review, and implementation of critical corporate policies, including Anti-Money Laundering (AML/CFT), Anti-Bribery and Anti-Corruption (ABC), Human Rights, POSH (Prevention of Sexual Harassment), Business Continuity, Access Control, Asset/Media Disposal, and Acceptable Use Policies.
- HR Policies: Developed and reviewed key HR policies, such as Hiring Policy, Employee Wellness Policy, Grievance Redressal Policy, Performance & Salary Review Policy, and Code of Conduct & Ethics.
- Legal & Ethical Compliance: Ensured policies adhered to legal standards and regulatory requirements, fostering company-wide compliance and reducing legal risks.
- Pre- & Post-Litigation: Managed recovery of outstanding dues through demand notices, settlement negotiations, and legal actions when necessary.
- Consumer Forum Representation: Drafted pleadings, represented the company in consumer forums/Labour court, and managed litigation involving consumer/employee disputes.
- Court Representation & External Counsel Coordination: Represented the company in courts across India, coordinated with external counsel for case management, and ensured timely compliance with court orders.
- Compliance Management for Labs: Overseeing the compliance requirements for Redcliffe Lifetech’s operations and subsidiaries, especially the labs across India. This includes managing licensing compliance with regulatory authorities, ensuring the labs meet all health, safety, and operational standards as required by local laws and government measures.
- In-House Counsel Compliance: Providing ongoing legal counsel to ensure adherence to regulatory frameworks applicable to the healthcare industry, including but not limited to medical device regulations, privacy laws, and business operations.
- Document Vetting and Review: Ensuring thorough review and vetting of key documents, including contracts, agreements, and legal communications, to ensure legal compliance and mitigate risks.
- Cross-Functional Legal Advisory: Collaborating with various departments, including HR, Compliance, Procurement, and Operations, to provide legal support and ensure alignment with company policies and regulatory requirements.
