  • Responsibilities:
  • (1) Key Transactions:
  • (a) Contributed significantly to the company’s growth journey, playing a key role in the expansion of the AUM and lending book size, supporting the achievement of substantial growth milestones.
  • (b) Successful closure of documentation for partnering with and/or on boarding various financial partners, firms, service providers and such other third parties.
  • (c) Ensured the prompt, successful, and seamless completion of documentation and due diligence processes, along with accurate and timely pre, during, and post-compliance activities for equity raises.

  • Multi-faceted role of a strategist, advisor, policy maker, drafter and negotiator for Vivriti Capital Private Limited. Reported directly into the founder(s) of the company and was the spearhead for all transactions and aspects of building the team, building the infrastructure, contract management, addressing all inter team dependencies/providing requisite support, contract management, record management, conducting committee and board meetings and advisory and knowledge sharing. Established myself as a key contact for regulatory authorities, founders, senior management and other teams (of the company) to approach for discussing and seeking advice on substantive issues and questions.
  • Responsibilities:
  • (1) Key Transactions:
  • (a) Successful closure of first Annual Reserve Bank of India audit of the company.
  • (b) Ensuring quick, successful and smooth closure of due diligence and accurate and timely pre, during and post compliance for equity raise of INR 350 cr.
  • (c) Successful completion of registration of trust (“fund”) with SEBI for the company’s asset management subsidiary.
  • (d) Successful closure of documentation for partnering with and/or on boarding various financial partners, firms, service providers and such other third parties.
  • (2) Infrastructure Building:
  • (a) Responsible for revamping all the existing documentation used and building new infrastructure for all the products being offered by the company, the company’s online debt platform and the company’s asset management subsidiary. This included products such as term loans, listed and unlisted non-convertible debentures, multi borrower credit enhanced loans, bill discounting, vendor discounting and such other products.
  • (b) Responsible for constituting and framing various policies and committees to: meet regulatory requirements, identify and improve processes across teams.
  • (c) Improving business/operational efficiency by:
  • (i) Automation of Board and Compliance process for the company and the company’s asset management subsidiary for ensuring timely filings, intimations and compliances with regulatory bodies.
  • (ii) Prepared checklists and manuals for each regulatory compliances including process notes product wise, identifying internal dependencies and defining TAT.
  • (iii) Periodic GAP analysis for all documentation of all products, policies, charters, compliances and processes from time to time to build in robust platform.
  • (d) Prepared detailed process note for board and committee meetings for ensuring smooth conducting of meetings.
  • (3) Knowledge Sharing and Advisory:
  • (a) Started a newsletter for sharing regular updates with the founders, senior management and other teams of the company.

  • (a) Build the team by hiring a mix of qualified professionals and company secretaries and fresher’s for ensuring quality standards of the company and ensuring standard of work is set high, right from the early stages.

  • As a group manager, I had been equipped with the independence in decision making, managing, nurturing and supervising the other teams in Bharti Group companies situated globally across India, South Asia and Africa on corporate, compliance, liquidity, banking and trade finance matters.
  • Responsibilities:
  • (1) Responsible for providing documentation and advisory support to the Group Treasury Team (of Bharti Airtel Limited) for managing:
  • (a) Forex exposure of entire Bharti Group across India, South Asia and Africa, which includes advising, drafting, vetting and negotiating agreements, terms and conditions including ISDA Master Agreements, Forex Master Agreements, Forex Terms and Conditions with domestic and international Banks.
  • (b) Working capital and liquidity requirements of Bharti Group companies situated globally, which includes advising drafting, vetting and negotiating various transaction & security documents including advising, drafting, vetting and negotiating agreements for short term loans, rupee term loans, working capital loans, issuance of commercial papers and non-convertible debentures and various security documents including documents related to mortgage, guarantee and hypothecation with domestic and international Banks and coordinating with domestic and international firms and external counsels.
  • (c) Global debt operations (including condition precedents, condition subsequent and covenants) for credit facilities availed by all Bharti Group companies (situated globally) from domestic and international Banks, which includes advising, drafting, vetting and negotiating letters, declarations and certificates.
  • (2) Responsible for providing contracting support to other teams in Bharti Airtel (Corporate Office) and other teams of Bharti Group Companies (situated globally) such as structuring of transactions, ideating and providing intra group liquidity requirements, advising Human Resource (“HR”) Team on employee related issues, reviewing, drafting, vetting and negotiating agreements, contracts, deeds, terms and conditions including CMS terms and conditions, sponsorship agreements, lease deeds, shareholders agreements, non-disclosure/confidentiality agreements, fax indemnities, counter indemnities (for bank guarantee limits availed by Bharti Group companies from Banks/Financial Institutions), deeds of release, consent letters.
  • (3) Management (Advisory and Documentation):
  • (a) Drafting and standardizing agreements for short term loans, working capital loans and shareholders loans.
  • (b) Drafting and standardizing ISDA Schedule (related to the ISDA Master Agreement) to be used by Bharti Group companies (situated globally) for foreign exchange transactions.
  • (c) Drafting and standardizing USAGE SMS ALERT terms and conditions.
  • (d) Preparing memoranda of recommendations and research notes on points relevant for banking and finance industry (including the Insolvency and Bankruptcy Code, 2016 sought by Ministry of Corporate Affairs).
